CA Panel Agreement

Version 1.0 · effective 23 May 2026

Plain-English summary

You stay an independent CA. You set your price, we take 10%, and we withhold 10% TDS before paying you every Sunday. Client documents belong to the client — you see only what they share, only while they share it. A client can dispute within 7 days of an engagement closing; that payout is held until we decide.

1. Who this covers

This agreement is between you — a Chartered Accountant listed on the Chitragupt panel — and Chitragupt Technologies Pvt Ltd. You accept it when you submit your panel application and again when your listing goes live. You stay an independent professional throughout. This is not employment, partnership, or an exclusive arrangement, and nothing here stops you serving clients outside Chitragupt.

2. You must be an ICAI member in good standing

You confirm that your ICAI membership number is valid, that you hold a Certificate of Practice where your services require one, and that you are not under any ICAI disciplinary order that limits your practice.

If any of that changes, tell us at firodiya.ritesh@gmail.com within 7 days. We pause your listing while we check, and we re-verify every membership once a year.

3. What you deliver

Each engagement names a service and a price before the client pays. You deliver what the listing says, in the form the listing says, and you keep the work inside that scope. If a client's situation turns out to be larger than the tier they bought, say so before doing the extra work — do not expand silently and bill later.

Respond to a new engagement within 2 working days. If you cannot take it, decline it so the client can pick someone else. Going quiet on a paid engagement is the single most common reason a client opens a dispute.

4. Client data — you are a Data Processor

Client documents stay the client's property. You get access only to what the client shares with you, only for the assessment years they pick, and only while the share is live. The client can revoke it at any moment and access ends immediately.

Use the data only to do the work the client hired you for. Do not copy it outside the platform, do not use it to market anything, and do not pass it to anyone else without the client's written instruction. The full terms are in the Data Processing Agreement.

5. What you get paid

You set your own price per service. The client pays that price. From it we deduct a 10% platform fee, then withhold 10% TDS under Section 194J of the Income-tax Act on your net share and remit it to the government against your PAN.

Worked example on a ₹1,000 engagement: ₹100 platform fee, ₹900 net share, ₹90 TDS withheld, ₹810 to your bank.

Payouts run as a weekly NEFT batch every Sunday, covering engagements closed in that week. Form 16A for the TDS withheld is issued annually after the financial year closes. Your Earnings page shows every batch, the deductions, and the amount that reached your bank.

6. Refunds and disputes

A client can raise a dispute for 7 days after an engagement closes. While a dispute is open, that engagement's payout line is held — the money stays in escrow rather than going out in the Sunday batch.

You get to respond with your side and attach evidence. Chitragupt decides within 5 working days. We can rule in your favour and release the payout, rule for the client and refund them, or split it. The platform fee is not refunded to you on a client-favour ruling.

Repeated disputes decided against you can end your listing — see section 8.

7. Ratings and your public listing

Clients rate you after an engagement closes. Ratings and review text show on your public profile without the reviewer's identity. We do not edit or remove a rating because you dislike it. We do remove one that contains abuse, personal data, or anything that is plainly not about the work — write to firodiya.ritesh@gmail.com and we will look at it.

8. Ending this agreement

You can leave the panel at any time. Turn on vacation mode to stop new engagements, finish the ones you have open, and tell us you want the listing removed. Payouts you have already earned still reach you on the normal weekly cycle.

We can remove your listing if your ICAI membership lapses, if disputes are repeatedly decided against you, if you take client data off the platform, or if you stop responding to paid engagements. Except for membership lapse or a data-handling breach, we tell you first and give you 7 days to respond.

9. Your own tax and compliance

The money you earn here is your professional income. Filing your own returns, paying GST where it applies, and keeping your books are yours to handle. We give you the TDS certificate and the earnings record; we do not file anything on your behalf.

10. Liability

The professional advice is yours. Chitragupt gives you the platform, the parsed documents, and the payment rails — we do not review or approve your work, and we are not liable for it. Our total liability to you for anything arising out of this agreement is capped at the platform fees we collected from your engagements in the preceding 12 months. This agreement is governed by Indian law and Pune courts have jurisdiction.

11. Changes to this agreement

If we change anything that affects what you earn or what you take on, we email you at least 30 days before it takes effect and you re-accept on next sign-in. Smaller clarifications get a version bump here. Every version is kept, so you can always see what you agreed to and when.
